ATTENTION: These terms and conditions (the “Terms of Use”) apply to the provision by Ticket Tailor of the “Ticket Tailor” online ticket-selling software solution (the “Service”). Please read these terms carefully before using or accessing any part of the Service. By using or accessing any part of the Service, you are deemed to accept these Terms of Use regardless of whether or not you choose to register with Ticket Tailor. If you do not accept these Terms of Use, do not use the Service. This notice is issued by Ticket Tailor. Ticket Tailor is the trading name of Zimma Ltd of 2nd Floor, 44 - 46 Scrutton St, London, EC2A 4HH (registered at Companies house with company number 7583551) and is part of the Time Out Group (registration number 01782049). Our registered office and postal address is C/O Time Out Group, Universal House, 251-255 Tottenham Court Road, London W1T 7AB.

1. Introduction
   
   By accessing any part of www.tickettailor.com or any subdomain of tickettailor.com or any domain that points to the tickettailor.com server (the “Website”), you shall be deemed to have accepted this legal notice in full. If you do not accept this legal notice in full, you must leave the Website immediately.
   
   The Provider may revise these Terms of Use at any time by updating this posting. You should check the Website (www.tickettailor.com/terms-of-use) from time to time to review the then current Terms of Use, because it is binding on you. Certain provisions of these Terms of Use may be superseded by expressly designated legal notices or terms: (a) located on particular pages at the Website; or (b) notified to you, from time to time.
   
   
2. Use of Service
   
   You shall use the Service only in accordance with these Terms of Use.
   
   You shall:
   
   
   1. provide the Provider with such information and material as the Provider may reasonably require in order to supply the Services and ensure that such information is accurate in all material respects;
   2. maintain and promptly update all information and material as may be required by the Provider in order to supply the Services to keep it true, accurate and complete; and
   3. cooperate with the Provider in all matters relating to the Service.
   
   
   You may use the Service to sell tickets online only if you are the event organiser or an authorised ticket seller (and have the event organisers expressed written permission) for all the events you are selling tickets for.
   
   
3. Payment methods
   
   All amounts payable to you pursuant to the Service are payable using external payment providers and accordingly, you will be bound by the terms and conditions that govern the relevant external payment providers’ relationships with their customers.
   
   The Provider is not affiliated with, and has no agency or employment relationship with, any external payment provider and has no responsibility for, and hereby disclaims all liability (including, but not limited to any losses, costs, fees and penalties of whatever nature arising from, the acts and omissions of any external payment provider.
   
   The Provider has no relationship with your customers. Accordingly, you shall hold us harmless, and indemnify us, against all claims, costs and damages (both actual and consequential) arising out of, or in any way, connected with:
   1. any dispute(s) with one or more of your customers; and/or
   2. your relationship with your customers.
   
   
   
4. Charges for the Service
   
   You shall pay each invoice submitted to you by the Provider for the provision of the Service within 21 days from the date of the invoice.
   
   Without prejudice to any other right or remedy that it may have, if you fail to pay the Provider on or before the due date, the Provider may:
   
   
   1. charge interest at a rate of 7% and you shall pay interest immediately on demand; and
   2. suspend the provision of the Service until payment has been made in full.
   
   
   
5. Service access
   
   While the Provider endeavours to ensure that the Service is normally available 24 hours a day, the Provider shall not be liable if for any reason the Service is unavailable at any time or for any period.
   
   Access to the Service may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond the Provider's control.
   
   
6. Visitor material and conduct
   
   Other than personally identifiable information, which is covered under our Privacy Policy (www.tickettailor.com/privacy-policy), any material that you transmit or post to the Website shall be considered non-confidential and non-proprietary. The Provider shall have no obligations with respect to such material. The Provider and its designees shall be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.
   
   You are prohibited from posting or transmitting to or from the Website any material:
   
   
   1. that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence or in breach of privacy; or
   2. for which you have not obtained all necessary licences and/or approvals; or
   3. which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party, in any country in the world; or
   4. which is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data).
   
   
   You may not misuse the Website (including, without limitation, by hacking).
   
   You acknowledge that the Provider will fully co-operate with any law enforcement authorities or court order requesting or directing the Provider to disclose the identity or locate anyone posting any material in breach of this clause 6.
   
   
7. Intellectual property rights
   
   All Intellectual Property Rights in or arising out of or in connection with the Services shall be owned by the Provider. You acknowledge that, in respect of any third party Intellectual Property Rights, your use of any such Intellectual Property Rights is conditional on the Provider obtaining a written licence from the relevant licensor on such terms as will entitle the Provider to license such rights to you. All materials, equipment, documents and other property of the Provider are the exclusive property of the Provider.
   
   For the purposes of this clause 7, “Intellectual Property Rights” means all patents, rights to inventions, utility models, copyright and related rights, trade marks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

    The Provider and the employees or agents of the Provider, exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of business, loss of income, loss of profits, loss of goodwill, loss or corruption of data, or loss or damage arising from or connected in any way to business interruption, and whether in tort (including without limitation negligence), contract or otherwise) in connection with the Website or Service in any way or in connection with the use, inability to use or the results of use of the Website or the Service, any website linked to the Website or the material on those websites, including but not limited to loss or damage due to viruses that may infect your computer equipment, software, data or other property on account to, use of, or browsing the Website or your downloading of any material from the Website or any websites linked to the Website.
    
    Nothing in this legal notice shall exclude or limit the Provider's liability for:
    
    
    1. death or personal injury caused by the Provider’s negligence;

    These Terms of Use shall be governed by and construed in accordance with English law. Disputes arising in connection with these Terms of Use shall be subject to the exclusive jurisdiction or the English courts.
