This session will focus on the growing importance of intellectual property, data and artificial intelligence in Nordic mergers and acquisitions, exploring the risks, opportunities and practical considerations that can influence deal value and outcomes.
M&A deals increasingly turn on how a target owns, licenses and governs its IP, data and AI assets - gaps here can affect valuation, timing and deal structure. We'll cover the key risk areas to watch for, including:
- IP ownership - verifying clear title to patents and trademarks, documented rights to copyright works and adequate trade secret protection; flagging gaps like unassigned inventions or unlicensed third-party IP.
- Data as a deal asset -whether target data is lawfully collected and transferable and how GDPR affects what moves with thedeal.
- AI: tool and target - how AI is speeding up diligence and valuation work, and what to check in a target's own AI use; compliance with the AI Act's already-applicable prohibited practices and the transparency and disclosure obligations for AI systems and generative AI content.
- Deal-breaker red flags - issues that stall or even kill deals and how to allocate risk through warranties, indemnities and price adjustments.
