Private Company Share Transfer Articles - The Essentials for Lawyers
Solicitors advising private companies and in-house lawyers of private companies need to understand share transfer articles – what they commonly say, what the alternative options are, how to comply with them and how the courts will interpret them if there’s a disagreement.
So, it’s important to know the underlying law; be able to assess the risk of legal disputes; understand the provisions appropriate in different client situations and the common pitfalls to look out for – in pre-emption rights and valuation provisions in particular - and the serious consequences if they get it wrong.
This course covers all of these legal essentials, highlighting both opportunities, and areas of difficulty and risk, and how to deal with each to meet your clients’ needs profitably.
The course will cover:
-General principles and underlying case law, including how courts interpret transfer articles in disputes
-The default position – what the model form and Table A say, and the differences between them
-Other restrictions in detail – including directors’ discretions, pre-emption rights, free rights of transfer, bad leavers and drag- and tag-along rights and more
-Pitfalls to look out for in transfer articles - things it’s easy to miss
-Issues if a proposed transfer is refused
-Death or bankruptcy of a shareholder (‘transmission’)
Note that the course does not cover employee share schemes, or stamp duty and other tax issues.
The price for this is £190 + VAT. This is a per organisation price, so up to 10 of your colleagues can participate at absolutely no extra charge, even if they are viewing it from a different location or at a different time. So, of course, if there are 10 of you the cost per delegate would be just £19.00 per head.
For law firms with four or less partners, you can purchase a single place at the conference for £99 + VAT
All those attending will receive a free video recording of the course shortly after it takes place. You can participate in the course live or watch the recorded version whenever or wherever you want.

The course is delivered by David Impey, who specialised as a company lawyer since qualifying as a solicitor in 1984. Now a non-practising solicitor, David is a highly experienced and well-known presenter and author of a number of company law textbooks.
