Drafting and Negotiating Software Development Agreements

Software-development projects can fail expensively. When they do, disputes commonly turn on scope, deliverables, acceptance, change control, delay, intellectual property and contractual limits on liability. This practical course explains how to draft, review and negotiate software development contracts, whether you act for the supplier or the customer. It focuses on the clauses that matter most when a project changes, falls behind schedule or breaks down altogether.

Recent disputes—including BskyB v HP Enterprise Services, De Beers v Atos Origin, CIS General Insurance/Soteria v IBM and Tata Consultancy Services v Disclosure and Barring Service—show how quickly unclear obligations, poor change control and unsuitable remedies can turn a difficult project into major litigation. Royal Devon v Atos and Drax v Wipro also underline the importance of precise drafting and careful project management. 

What the course covers:

• Waterfall and agile development: how the models differ in practice 
• The commercial and legal consequences of each approach 
• Defining scope, specifications, deliverables and customer dependencies 
• Acceptance testing, defects and go-live Scope creep, governance and change-control mechanisms 
• Milestones, delay, charging structures and payment disputes 
• Intellectual-property ownership, licences
• Warranties, liability caps, exclusions and recoverable loss 
• Termination, project failure and exit planning 
• Negotiation priorities when acting for the supplier or customer 

The course will help you identify the principal risks in a proposed software-development arrangement and translate them into practical drafting and negotiation positions. 

Price and recording £199 + VAT per organisation for the first delegate. Up to 10 colleagues from the same organisation may attend at no extra charge, whether they participate live, from different locations or watch at different times. If 10 colleagues attend, the effective cost is £19.90 + VAT per person. 

For firms with four or fewer partners, the price is £99 + VAT for one place. 

All delegates receive a complimentary recording shortly after the live session, enabling them to watch or revisit the course at a convenient time.

All those attending will receive a free video recording of the course shortly after it takes place. You can participate in the course live or watch the recorded version whenever or wherever you want. 

Presenter: Richard Stephens has worked in and for the technology industry for around 40 years. He began as in-house counsel to two major IT companies before becoming a partner at two major City law firms. For the last 20 years, his practice has focused principally on mediation and arbitration, particularly technology-related disputes.

Richard is a Fellow of the Society for Computers & Law, the British Computer Society and the Chartered Institute of Arbitrators. He has delivered his annual Update on Contract Law for more than a decade to audiences of up to 300 delegates. When he established his business, Chambers described him as “good news on the most complex of matters”.
