Reserve your vendor space for the Vendor Marketplace at the 78th Second District Conference. Vendors will have the opportunity to sell merchandise, promote their brand, and connect with conference attendees throughout the event. Space is limited, so early registration is encouraged to secure your spot.

All vendors must review the agreement below before completing registration. By completing checkout and selecting the agreement checkbox, you acknowledge and accept all terms.

"This Vendor Indemnification & Participation Agreement (“Agreement”) is entered into by and between the undersigned Exhibitor (“Exhibitor”) and the Second District of Omega Psi Phi Fraternity, Inc., acting through its duly authorized planning committee for the 78th Second District Conference (“Conference”).

A. Exhibitor Hours

Exhibitor agrees to operate only during the officially designated exhibit hours, which are tentatively scheduled as follows (subject to adjustment):

  • Thursday, April 30, 2026: 8:00 AM – 9:00 PM
  • Friday, May 1, 2026: 8:00 AM – 9:00 PM
  • Saturday, May 2, 2026: 8:00 AM – 9:00 PM

Final exhibit hours will be communicated prior to the Conference.

B. Installation, Use, and Removal of Exhibit Space

Exhibitor agrees to install all equipment, displays, and merchandise no later than one and one-half (1.5) hours prior to the opening of the exhibit area on the first day. Exhibitor further agrees to dismantle and remove all property immediately following the close of the final exhibit day.

Each exhibit space includes:

  • One (1) cloth-covered table
  • Two (2) chairs

Requests for additional tables or accommodations must be submitted in advance to the District Marshal or his designee. Additional equipment will be provided on a first-come, first-served basis, subject to availability.

Exhibit spaces will be assigned upon receipt of a completed application and full payment.

C. Assumption of Risk

Exhibitor voluntarily assumes all risks associated with participation in the Conference, including but not limited to theft, damage to property, personal injury, loss of profits, business interruption, acts of third parties, acts of God, and venue conditions. No bailment is created by this Agreement.

D. Limitation of Liability

Exhibitor understands and agrees that the Second District of Omega Psi Phi Fraternity, Inc., the 78th Second District Conference Committee, Friendship Charities Foundation, Inc., all affiliated chapters, officers, members, volunteers, agents, contractors, and representatives (collectively, “Host Entities”) shall not be liable for any indirect, incidental, special, or consequential damages.

In no event shall the total liability of the Host Entities exceed the total amount of fees paid by Exhibitor under this Agreement.

E. Indemnification & Insurance

Exhibitor agrees to defend, indemnify, and hold harmless the Host Entities from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

  • Exhibitor’s participation in the Conference
  • Exhibitor’s acts or omissions
  • Exhibitor’s use of the exhibit space
  • Injury to persons or damage to property caused by Exhibitor

F. Insurance Requirements

As a condition of participation, Exhibitor shall maintain commercial general liability insurance with limits of not less than $1,000,000 per occurrence for bodily injury and property damage.

Exhibitor shall provide a Certificate of Insurance (COI) naming the following as Additional Insureds:

  • Second District of Omega Psi Phi Fraternity, Inc.
  • Friendship Charities Foundation, Inc.
  • Conference venue and its ownership/management entities (if required)

The COI must be submitted no later than thirty (30) days prior to the Conference.

G. Compliance with Rules and Laws

Exhibitor agrees to comply with all instructions issued by authorized representatives of the Conference and shall vend only within the assigned exhibit space.

Exhibitor warrants compliance with all applicable federal, state, and local laws, including the laws of the State of Maryland, as well as all venue rules and regulations.

H. Merchandise Approval and Restrictions

The Conference reserves the right, in its sole discretion, to approve or reject Exhibitor merchandise. Prohibited items include, but are not limited to:

  • Counterfeit or infringing merchandise
  • Unauthorized use of Omega Psi Phi Fraternity intellectual property
  • Items inconsistent with the values or mission of the Fraternity

Multi-level marketing (MLM) activities must be disclosed in advance and are subject to approval.

I. Prohibition on Assignment or Subletting

Exhibitor may not assign, sublet, share, or otherwise transfer its exhibit space or any portion thereof without prior written consent from the Conference. Exhibitor shall operate solely under the business name listed on the registration.

J. No Guarantee of Attendance or Sales

Exhibitor acknowledges that the Conference makes no representations or guarantees regarding attendance levels, foot traffic, or sales volume.

K. Termination for Cause and Non-Payment

The Conference reserves the right to immediately terminate this Agreement and remove Exhibitor for:

  • Violation of this Agreement
  • Non-payment or late payment
  • Conduct deemed disruptive or inappropriate

Upon termination:

  • Exhibitor forfeits all fees paid
  • No refunds shall be issued

L. Space Adjustments and Cancellation

The Conference reserves the right to adjust exhibit space assignments as necessary. Exhibitor acknowledges that all vendor fees are non-refundable, including in the event of Exhibitor cancellation.

M. Force Majeure

The Host Entities shall not be liable for delays, modifications, or cancellation of the Conference due to circumstances beyond reasonable control, including but not limited to acts of God, government orders, public health emergencies, labor disputes, or venue unavailability.

N. Intellectual Property

Exhibitor may not use the Conference name, logos, or branding in advertising or promotional materials without prior written approval. Exhibitor shall not imply sponsorship unless expressly authorized.

O. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland.
